Terms of Service

These Terms of Service ("Terms") govern your use of the mortonstreet.ai website and any services provided by Morton Street ("we," "us," or "our"). By accessing our website or engaging our services, you agree to be bound by these Terms.

Agreement to Terms

By accessing or using our website and services, you confirm that you are at least 18 years of age, have the legal authority to enter into these Terms, and agree to comply with all applicable laws and regulations. If you are entering into these Terms on behalf of a company or organization, you represent that you have the authority to bind that entity.

Services Description

Morton Street provides B2B go-to-market services, including but not limited to:

  • GTM strategy development and consulting
  • Content strategy, creation, and distribution
  • Outbound sales system design and execution
  • Market intelligence and pipeline analytics
  • Technical integrations and automation

The specific scope of services for each engagement is defined in a separate Statement of Work (SOW) or service agreement between Morton Street and the client. These Terms apply in addition to any such agreements.

Client Obligations

As a client of Morton Street, you agree to:

  • Provide accurate and complete information necessary for the delivery of services
  • Designate a primary point of contact for communication and approvals
  • Respond to requests for feedback, approvals, and information in a timely manner
  • Grant reasonable access to systems, tools, and data required for service delivery
  • Comply with all applicable laws, including data protection and anti-spam regulations, in connection with any campaigns or systems we build together
  • Refrain from using our services for any unlawful, fraudulent, or deceptive purposes

Delays caused by failure to meet these obligations may impact project timelines and deliverables.

Payment Terms

Payment terms are specified in the applicable SOW or service agreement. Unless otherwise agreed:

  • Invoices are issued monthly and are due within 15 days of receipt
  • All fees are quoted in US dollars and are exclusive of applicable taxes
  • Late payments may incur interest at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower
  • We reserve the right to suspend services for accounts with overdue balances exceeding 30 days

Refunds are handled on a case-by-case basis and are not guaranteed. If you wish to terminate an engagement early, please refer to the Termination section below.

Intellectual Property

Client Ownership

Upon full payment, you own all deliverables created specifically for your engagement, including content, copy, strategies, and custom assets. You retain ownership of all pre-existing materials you provide to us.

Morton Street Ownership

We retain ownership of our proprietary tools, methodologies, frameworks, templates, and processes that existed prior to or were developed independently of your engagement. We may use generalized learnings, techniques, and know-how gained during our engagement to improve our services, provided that no confidential client information is disclosed.

License

Where our proprietary tools or systems are deployed as part of your engagement, we grant you a non-exclusive, non-transferable license to use them for the duration of the engagement unless otherwise specified.

Confidentiality

Both parties agree to treat as confidential any non-public information shared during the engagement, including business strategies, client data, pipeline metrics, and proprietary processes. Confidential information will not be disclosed to third parties without prior written consent, except as required by law. This obligation survives termination of the engagement for a period of two years.

Limitation of Liability

To the maximum extent permitted by law:

  • Morton Street's total liability for any claims arising from our services shall not exceed the fees paid by you in the three months preceding the claim
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities
  • We do not guarantee specific business outcomes, revenue targets, or pipeline metrics. Results depend on multiple factors including market conditions, product-market fit, and client collaboration

Nothing in these Terms limits liability for fraud, gross negligence, or willful misconduct.

Indemnification

You agree to indemnify and hold harmless Morton Street and its team members from any claims, damages, losses, or expenses (including legal fees) arising from your breach of these Terms, misuse of deliverables, or violation of applicable laws.

Termination

Either party may terminate an engagement by providing 30 days' written notice, unless otherwise specified in the applicable SOW. Upon termination:

  • All fees for work completed through the termination date are due and payable
  • We will deliver all completed and in-progress deliverables
  • Access to Morton Street systems and tools will be revoked within 7 days
  • Confidentiality obligations survive termination

We reserve the right to terminate immediately if you breach these Terms or engage in conduct that could harm our reputation or operations.

Warranty Disclaimer

Our services are provided "as is" and "as available." We make no warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that our website will be uninterrupted, error-free, or free of harmful components.

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted remotely where possible.

Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email to active clients and by updating the "Last updated" date on this page. Continued use of our services after changes are posted constitutes acceptance of the revised Terms.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
